Salish Sea Crafts

Default Consignment Agreement

Version 2026-10-10, effective October 10, 2026

Draft; counsel review pending

Each partner gallery publishes the consignment terms its makers accept. A gallery can adopt this template, edit it, or write its own; the key terms below are enforced by Salish Sea Crafts whatever the prose says, and each gallery's published terms show its own values.

Salish Sea Crafts is not a party to a gallery's consignment agreement. It sells the work as seller of record and pays the maker and the gallery their shares at sale, as described in the Maker Agreement and the Gallery Partner Agreement.

This Consignment Agreement is between the partner gallery that publishes it (the "Gallery") and the maker who accepts it on Salish Sea Crafts (the "Maker"). It covers work the Maker places with the Gallery on consignment through the Salish Sea Crafts platform. The key terms shown with this agreement are part of it and govern if they differ from the text below.

1. Parties and the role of Salish Sea Crafts

Salish Sea Crafts ("SSC") provides the platform, is the seller of record for every sale of the Maker's work (online and at the Gallery's counter), and acts as limited payment agent: it collects each buyer's payment and pays the Maker's and the Gallery's shares. SSC is not a party to this agreement.

2. Consignment, title and trust property

The Gallery receives the Maker's work as the Maker's agent, for sale on consignment. Title to each item stays with the Maker until it is sold to a buyer. Consigned work, and any proceeds of its sale the Gallery receives, are held in trust for the Maker as trust property under Washington's artist-dealer consignment law (RCW 18.110), are not the Gallery's property, and are not available to the Gallery's creditors. The Gallery may not pledge, lend or alter the work.

3. Intake and returns

The Gallery records every intake on the platform with quantities and condition and labels each item with its platform short code. The Maker has 7 days from an intake record to dispute it; after that it is final. Returns to the Maker are recorded the same way, with the same 7-day window.

4. Custody, insurance and liability

From intake until an item is sold, returned or withdrawn, the Gallery holds it in its custody, insures it at its agreed value, and is strictly liable to the Maker for its loss, theft or damage. Every intake records an agreed value for each item, set with the Maker. Any such loss is settled between the Gallery and the Maker directly, outside SSC.

5. Pricing

Consigned work sells at the Maker's live listed price on Salish Sea Crafts, in the Gallery and online alike. When the Maker changes a price (including a variant's price), the Gallery retags the item. Every intake records a minimum sale price for each item, set by the Maker. The Gallery's point of sale refuses a sale below that minimum, and the Gallery gives no discounts on consigned work.

6. Fees and payment

On each sale fulfilled from the Gallery's consigned stock, SSC keeps its platform fee of 10% and the Gallery receives the percentage shown on the Gallery's invitation of the pre-tax price; the Maker receives the rest. Sales the Maker fulfils from home carry no Gallery fee. Payment: paid at the time of sale by Salish Sea Crafts. SSC pays by transfer to the Maker's and the Gallery's Stripe accounts, so the Maker must complete Stripe onboarding before work is sold at the Gallery.

7. Display, photography and promotion

The Maker consents to the Gallery displaying consigned work in the gallery, on its page on Salish Sea Crafts, and in the display case on its partner website. The Gallery will not photograph consigned work for, or post it on, social media without the Maker's separate written consent.

8. Term, pausing and ending

Either party may pause or end this relationship on the platform at any time. When it ends, the Gallery returns all of the Maker's work it holds within 30 days, recording each return. The relationship cannot be closed while the Gallery still holds the Maker's work or has open pickups for it; until those are returned or resolved, the work is withdrawn from sale. The Gallery accepts no new intake from the Maker after notice is given.

9. Taxes

SSC collects and remits Washington sales tax on every sale as marketplace facilitator. The Maker is responsible for income tax on the Maker's share, and the Gallery for income tax on its fees.

10. Governing law, disputes and electronic acceptance

This agreement is governed by Washington law; disputes go to the state or federal courts for San Juan County, Washington, after an attempt to resolve them informally. The Maker accepts it electronically on Salish Sea Crafts, which records the version accepted. When the Gallery publishes a new version, work already on consignment keeps selling under the version the Maker accepted; new intake requires the Maker to accept the current version.
