Gallery Partner Agreement
Version 2026-10-10, effective October 10, 2026
Draft; counsel review pending
A gallery owner accepts this agreement on behalf of the gallery together with the Terms of Service. Each gallery publishes its own consignment terms for makers; the Salish Sea Crafts template is the default it can adopt or replace.
Draft prepared by Salish Sea Crafts; counsel review pending. This version takes effect on October 10, 2026. It is not legal advice to you; when a reviewed version is published it will carry a new version date and you will be asked to accept it again.
This Gallery Partner Agreement is between Salish Sea Crafts ("SSC"), operated by Fizzgig, LLC, and the gallery named in your gallery account (the "Gallery"). The gallery owner who accepts it does so on behalf of the Gallery and confirms they are authorized to bind it. It applies together with the Terms of Service.
1. Acceptance and electronic records
- The Gallery accepts this agreement electronically. SSC records the version, a hash of the text shown, the time, and the owner's IP address and browser.
- The Gallery agrees to receive this agreement, statements, order and pickup notices and changes to this agreement electronically.
- When SSC publishes a new version, gallery tools ask the owner to accept it before continuing.
2. SSC's role
- SSC is the merchant of record for every sale of work the Gallery holds or sells, online and at the Gallery's counter. In-store sales are SSC sales that the Gallery fulfils as SSC's agent.
- SSC acts as limited payment agent between makers and the Gallery: it collects each buyer's payment and transfers the maker's and the Gallery's shares. SSC is not a party to the consignment agreements the Gallery publishes and makers accept.
3. Fees, payouts and statements
- SSC keeps a platform fee of 10% of every dollar processed except sales tax and the buyer's shipping charge.
- The Gallery's fee applies only to sales fulfilled from stock consigned to the Gallery, at the percentage the maker accepted, calculated on the pre-tax price. No gallery fee applies to gift wrap, handling, or sales a maker fulfils from home.
- House goods. The Gallery's own goods and classes sell under its house maker account; only SSC's platform fee applies to them.
- Shares are transferred to the Gallery's Stripe Express account when the order is paid; Stripe pays out on the Gallery's payout schedule. Refunds reverse shares in proportion to the refunded lines, except that transit loss or damage is refunded by SSC without reversing shares when shipping rules were followed (section 5).
- The Gallery must complete Stripe onboarding, and every maker sold at the Gallery must be Stripe-onboarded. A monthly statement of sales, fees and transfers is sent by the 15th of the following month.
4. Operations
- Consignment handling. Record every intake, return and adjustment on the platform when it happens, and keep consigned work in saleable condition. Makers have 7 days to dispute an intake or return record.
- Display case. Consigned work may be shown in the Gallery and in the display case on the Gallery's page and website, within the display and social-media consents in each maker's consignment agreement.
- Counter sales. The Gallery runs the SSC point of sale as SSC's agent. Sales are card only (no cash), at the live listed price, never below a maker's minimum price and never discounted. Post SSC's in-store notice at the counter: SSC is the seller, card only, the 48-hour inspection rule, and how to ask for a refund.
- Refunds. Only SSC issues refunds, always to the original card. The Gallery may request a refund on the platform; SSC decides.
- Pickups. Mark an order staged only once the item is set aside and checked; the buyer's ready email goes out then. Mark it handed over only when the buyer or their named recipient collects it. Buyers are reminded after 7 and 21 days; at 30 days an uncollected order is refunded and the item returns to the Gallery's sellable stock.
- Classes. House classes need a capacity and a written cancellation policy for each listing. The Gallery runs them as listed; refunds are issued by SSC.
- Hardware. Card readers supplied by SSC remain SSC's property and are returned when this agreement ends.
5. Shipping
- When the Gallery ships, it keeps parcel data (weight, size, box profile) accurate. SSC absorbs up to $2 when a label costs more than the quote; an excess caused by wrong parcel data is recorded against the shipper on the shipment ledger and may be invoiced or deducted from future payouts (not automatically from a transfer).
- A disclosed handling fee of up to $3 per shipment group may be charged and is paid to the shipper. When live rates are on, SSC buys and owns the postage for every label; the buyer's shipping charge stays with SSC.
- Estimated-rate shipments. When live rates are unavailable and checkout used an estimated shipping charge, the Gallery buys the postage for that shipment itself and enters the carrier and tracking number on the platform. The buyer's shipping charge still stays with SSC and the Gallery receives no postage money for it; SSC may change this, for example by reimbursing such postage, only by publishing a new version of this agreement. SSC adds no insurance or signature requirement to these shipments.
- SSC is the shipper of record for the labels it buys. The Gallery consents to its address printing on labels as the return address.
- Ship within 3 business days unless the listing states a lead time; SSC sends reminders for unbought labels. Use the platform's end-of-day SCAN form for each drop-off so every parcel gets an acceptance scan.
- Maker packing. Where SSC enables maker packing for the Gallery, a maker may buy the label for and pack a parcel of their own consigned work at the Gallery. Whoever packs a parcel is responsible for its packaging and parcel data; the Gallery remains responsible for the work until it is handed to the carrier.
- On labels SSC buys, insurance above $100 and signature above $250 are added at SSC's cost. For loss or damage in transit SSC refunds the buyer and files the carrier claim; the Gallery cooperates with photos and packaging.
6. Custody and insurance
- The Gallery holds consigned work as the maker's agent; title stays with the maker until sale. SSC never holds or owns inventory.
- The Gallery insures consigned work at its agreed value and is strictly liable for loss or damage while the work is in its custody. Such losses are settled between the Gallery and the maker under their consignment agreement, outside SSC.
- The Gallery publishes its consignment terms on the platform (or adopts SSC's template), including the required structured terms: per-item agreed value, minimum price, fee, payment timing and display consents.
7. Taxes
SSC collects and remits Washington sales tax as marketplace facilitator on every sale, including counter sales. The Gallery remains responsible for its own income tax and B&O tax on its fees and house sales, using the monthly statement.
8. Data, staff and support access
- Buyer names and order contents are shared with the Gallery for pickup, in-store and shipping fulfilment only, and may not be used for marketing without the buyer's separate consent.
- The Gallery may add staff accounts. Staff accept the Gallery Staff Addendum below; the Gallery is responsible for everything its staff do on the platform.
- An SSC administrator may view the Gallery's tools as a member sees them, to provide support. Every such session is logged.
9. Website
If the Gallery has a partner website on SSC's platform, SSC hosts it; carts are handed to salishseacrafts.com, where checkout is completed under SSC's Terms. The Gallery is responsible for the content it adds, and the site uses its own analytics.
10. Term, suspension and ending
- Either party may end this agreement with 30 days' written notice. Before the Gallery's account closes, consigned stock is returned to makers or sold through under the applicable consignment terms, open pickups are completed or refunded, and SSC hardware is returned.
- SSC may suspend the Gallery's sales and intake for breach, unpaid ledger amounts, or to protect buyers or makers, after notice where practical.
- This agreement is governed by Washington law; disputes go to the state or federal courts for San Juan County, Washington, after an attempt to resolve them informally. Questions: hello@salishseacrafts.com.
Gallery Staff Addendum
Version 2026-10-10-staff, effective October 10, 2026. Accepted by each staff member, with the gallery's name filled in, before using the gallery tools.
Draft prepared by Salish Sea Crafts; counsel review pending. This version takes effect on October 10, 2026. It is not legal advice to you; when a reviewed version is published it will carry a new version date and you will be asked to accept it again.
You have been added as staff of a partner gallery on Salish Sea Crafts. The gallery owner has accepted the Gallery Partner Agreement for the gallery; this addendum does not make you a party to it. By accepting, you confirm:
- I act on behalf of the gallery that added me as staff, only for its business and only while it authorizes me.
- I will not process, promise or pay refunds. I pass refund requests to the gallery owner, who requests them from Salish Sea Crafts.
- I will follow the staged and handed-over flow: I mark a pickup staged only once the item is set aside and checked, and handed over only when the buyer or their named recipient collects it, and I tell buyers about the 48-hour inspection window.
- I take card payments only, at the listed price, never below a maker's minimum price and never with a discount.
- I record intakes, returns and sales accurately when they happen.
- I keep buyer, maker and gallery information confidential and use it only to fulfil orders.
